Your Position:

Major Purpose

Prepares and drafts legal research documents, conducts internal document research, interviews Company personnel and drafts responses to discovery requests. Independently writes legal briefs and drafts legal documents. Acts independently and uses extensive legal knowledge obtained through experience to review and analyze legal documents. Reviews pending legislation and analyzes current laws. Independently communicates with external counsel or external contacts to obtain a specific outcome (i.e. negotiate a settlement). Interviews potential witnesses. Directs the search and retrieval of information from electronic and other files, and analyzes collected information for relevancy in responding to discovery requests. Provides direct guidance to lower level Paralegals; may provide direct supervision of subordinate employees and/or team.

PRIMARY DUTIES & RESPONSIBILITIES

  • Maintain, track, and update data of all China legal entities on hCue (legal system) and develop a process to ensure it accurate and updates
  • Annual inspection and certification of China legal entities
  • Assist in reviewing and managing contracts in Total Contract Management tool
  • Identify the issues and provide business clients guidance together with legal counsel(s)
  • Manage and secure the appropriate use of company seal / stamp, and implement and make continuous improvement to company stamp use process
  • Support in corporate governance matters, update BOD information, filings with MoFCOM on monthly basis

PRIMARY DUTIES & RESPONSIBILITIES

  • Support to obtain business license, manage property leases, land certificates management, power of attorney process
  • Manage communication with various units and functions for fulfill the above responsibilities, including Ag & Turf, JDPS, C&F, etc. throughout China
  • Manage vendor and outside counsel relations (outside counsel score card) including vendor / outside counsel selection and tracking legal department fee payment
  • Handle legal entities registries, including present and justify the business case of legal documents in front of local authorities.
  • Legal Reps signatures and associated process
  • Subsidy applications support, review other commitment letters including HR, logistics social credit system related, etc.
  • Matter management reports including litigations, budget, contingent liability, legal matters, etc.

SKILLS NEED

  • Ability to develop business cases and funding strategies.
  • Performs more complex functions, understands principles, and may teach others. Knowledge of legal and compliance issues governing a process or set of processes.
  • Understands the Legal department functions and how the department's work fits within the Enterprise.
  • Skill in project management. Skill in interpersonal communications, negotiation, and conflict resolution.
  • Has a good understanding of the principles and can independently use the knowledge
  • Has good Computer skills, and tech savv

EDUCATION

  • Degree in a Law or equivalent experience
  • Degree in an Accounting/Finance discipline or equivalent experience.
  • Degree in a Social Sciences discipline or equivalent experience.
  • Miscellaneous degree or equivalent experience.
